Directors Rights – The Two Big Ones

What rights do board members enjoy? It seems I am always talking about the duties and obligations of board members, so this is a change of pace. Let’s talk about the rights of being a board member.

The first and most important right of a director is the ability to vote at a board meeting. No one else gets to vote and it is by voting on motions that the organization is managed.  Stakeholders elect the board at the annual general meeting, and they are done voting for a year.

The second right is that a director has to be notified of board meetings. They cannot have a meeting and not invite you. If a meeting is held without due notice, nothing that happens at that meeting is valid.

These are the two big rights a board member has, the right to vote and the right to be informed about meetings.
